1. Introduction
These Airdrop Terms & Conditions (“Terms”) govern the participation in and receipt of tokens (“Tokens”) through the airdrop program (“Airdrop”) organized by Succinct Foundation, a Cayman Islands Exempted Foundation Company (the “Foundation”, “we” or “us”). By entering a Wallet (as defined below) and participating in the Airdrop, you acknowledge that you have read, understood, and agreed to these Terms in their entirety.
Your participation is solely at your own risk. It is also your sole responsibility to seek appropriate professional, legal, tax, and other advice regarding the Airdrop and Token receipt before participating or receiving any Tokens. By participating in this Airdrop, you agree to resolve all disputes related to the Airdrop through individual arbitration and expressly waive your right to engage in class actions, class arbitrations, or representative actions.
2. Eligibility
- You must be at least 18 years old and not a Prohibited Person. A “Prohibited Person” is any person or entity that is (a) the subject of any economic or trade sanctions administered or enforced by any governmental authority, including any person designated on any list of prohibited or restricted parties by any governmental authority, such as the European Union (“EU”) Consolidated List of Persons, the United Kingdom (“UK”) Consolidated List of Financial Sanctions Targets, the United States (“U.S.”) Treasury Department’s list of Specially Designated Nationals, and the U.S. Department of Commerce Denied Persons or Entity Lists; (b) located in, incorporated in, or otherwise organized or established in, or resident of, any country, territory, or jurisdiction that is the subject of comprehensive country-wide or regional economic sanctions or embargoes or has been designated as “terrorist supporting” by the United Nations (“UN”) or any governmental authority of the EU, UK, or the U.S., including the Office of Foreign Assets Control (“OFAC”) of the U.S. Treasury Department or the Office of Financial Sanctions (“OFSI”) of HM Treasury of the UK (each such country, territory, or jurisdiction, a “Prohibited Geo”); (c) owned or controlled by such persons or entities described in (a)-(b); or (d) accessing or using the Services on behalf of persons or entities described in (a)-(c). You agree not to use virtual private networks or other tools to circumvent these restrictions. Any such deliberate circumvention, or attempted circumvention, of our controls may permanently disqualify you from participation in the airdrop, as determined in our discretion.
- You agree and acknowledge that your participation in the Airdrop does not violate any applicable laws, including without limitation applicable economic and trade sanctions and export control laws and regulations, such as those administered and enforced by the EU, OFSI, OFAC, the U.S. Department of State, the U.S. Department of Commerce, the UN Security Council, and other relevant authorities. You also agree that you will not sell, assign or transfer control of any Tokens you receive in the Airdrop to a person or Wallet (defined below) that would violate these terms if claimed directly by such person or Wallet.
- The Foundation’s Airdrop employs an independent blockchain analytics provider ("Screening Service Provider") to screen Airdrop claims. Additionally, geo-location and proxy detection controls are in place to prevent website access by Prohibited Persons or those in a Prohibited Geo. You agree and acknowledge that the Foundation reserves the right to (a) screen your IP address, and (b) require additional information from you to enter, use, or share such information into or with a Screening Service Provider for purposes of ensuring you are neither a Prohibited Person nor located in a Prohibited Geo. The Foundation may deny access to the Airdrop claims website based on information from the Screening Service Provider that indicates that the person or Wallet (defined below) may present heightened risks in the context of the Airdrop’s screening program.
3. Participation & Claiming
- A snapshot will capture eligible Wallets (defined below) as of July 1st, 2025.
- Only those Wallets can claim Tokens via our designated portal during the registration period between July 28, 2025 and August 3, 2025 (7pm UTC). Tokens that remain unclaimed by the end of the claim period are forfeited. Further details are available register.succinct.foundation.
- To participate in the Airdrop, you will need to provide an eligible smart contract address and connect a compatible third-party digital wallet ("Wallet"). Failure to do so may result in the forfeiture of Tokens. You may encounter technical limitations, delays, or third-party transaction fees (e.g., Ethereum gas fees) when receiving or claiming Tokens via your Wallet. We do not control digital assets, including the Tokens, in your Wallet, and we accept no responsibility or liability to you in connection with your use of a Wallet.
- The Foundation reserves the right to determine, at its sole discretion, both your eligibility to receive Airdrop Tokens and the specific number of Tokens allocated to each participant. The estimated number of Tokens you are eligible for as described in the Foundation’s Airdrop interface is an estimate only; actual Token allocations may be revised up or down. Token allocation may also differ among participants.
- The receipt of Tokens pursuant to this Airdrop does not require, and is not conditioned upon, the recipient providing any form of consideration, payment, service, action, or undertaking. Neither participation in the Airdrop nor the act of claiming Tokens constitutes an exchange, purchase, or contract for value between the recipient and the Foundation. The Tokens are being distributed gratuitously, without expectation of compensation, obligation, or performance on the part of the recipient. This distribution does not create any contractual or fiduciary relationship between the recipient and the Foundation, and no promise or inducement to act has been made by either party in exchange for the Tokens.
- The Foundation has no obligation to notify actual or potential Airdrop participants of the eligibility criteria for the Airdrop prior to, during, or after the claims are opened for the Airdrop.
4. Risk Acknowledgment
The Airdrop carries risks (regulatory, technical, market), and participation is at your own risk. By claiming Tokens in this Airdrop, you acknowledge that:
- In connection with the Airdrop, you might rely on third-party wallets, networks, or services outside our control. Should you be unable to access these products, services, or integrations, or if they fail for any reason, preventing your participation in the Airdrop or your ability to claim Tokens, you will have no recourse or claim against the Foundation.
- The cost and speed of transacting with cryptographic and blockchain-based systems, such as Ethereum, are variable and may increase or decrease dramatically at any time.
- The Token is not intended to constitute securities of any form, units in a business trust, units in a collective investment scheme or any other form of investment in any jurisdiction. These Terms do not constitute a prospectus or offer document of any sort and are not intended to constitute an offer of securities of any form, units in a business trust, units in a collective investment scheme or any other form of investment, or a solicitation for any form of investment in any jurisdiction. No regulatory authority has examined or approved of these Terms.
5. Tax & Other Obligations
You are responsible for any taxes or reporting obligations arising from the receipt of these Tokens. Consult your own tax or legal advisor. All information provided in connection with the Airdrop or otherwise provided by the Foundation is for informational purposes only and is not and should not be construed as professional advice.
6. No Liability
To the fullest extent permitted by law, you release us and our team from any liability related to the Airdrop or Token use, including lost funds, technical errors, or geo-blocking.
7. Indemnification
You agree to defend and indemnify the project and its team against any claims, losses, or legal costs arising from your use of the Airdrop or breach of these Terms.
8. Changes & Termination
We reserve the right to modify or terminate the Airdrop or these Terms at any time (e.g., to comply with legal or regulatory changes), with or without notice, and without further liability.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the Cayman Islands, and any dispute will be resolved through arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures in the courts of the Cayman Islands.
10. Acceptance
By clicking "claim" or interacting with the Airdrop, you confirm that you have read, understood, and agreed to these Terms, and that you meet all eligibility requirements.
11. Entire agreement
These Terms contain the entire agreement between you and the Foundation regarding the Airdrop and supersede all prior understandings between the parties regarding the Airdrop. We may modify these Terms from time to time in which case we will update the “Last Revised” date at the top of the Terms.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified, interpreted, or limited to the minimum extent necessary to render it valid and enforceable, and the remaining provisions of these Terms shall remain in full force and effect.
There is only one website for the Succinct Airdrop: register.succinct.foundation. Do not trust any other website regardless of its source or origin or any link routing you to a different website.
